Commercial Cardholder Agreement

This is a draft provided for review during onboarding. The final agreement, including the name of the issuing financial institution, will be published before the first card is issued and will supersede this draft.

1. Parties and scope

This agreement governs commercial cards made available through the Lynq Capital platform to verified US businesses. Cards are issued by a licensed, regulated partner financial institution (the "Issuer"). Lynq Capital is a financial technology company, not a bank, and provides the software used to request, manage, and monitor cards. Lynq Capital does not receive, hold, transmit, or take custody or control of customer funds; card balances are held by the Issuer or its sponsor bank.

2. Prefunded commercial debit — no credit

Cards are prefunded commercial debit cards. They draw exclusively on balances your business has funded in advance from its linked business bank account. No credit is extended, no interest is charged or paid, and spending cannot exceed your available prefunded balance.

3. Business use only

Cards may be used only for lawful business purposes by authorized users your administrators designate. Personal, family, or household use is prohibited, as is any use in merchant categories restricted by the Issuer, the card network, or applicable law.

4. Controls and authorizations

Your administrators may set merchant locks, category restrictions, and per-card, per-user, daily, monthly, or campaign spending limits. Authorizations that exceed a control are declined in real time. We and the Issuer may also decline authorizations for risk, compliance, or legal reasons.

5. Fees

Fees are listed on the Lynq Capital fee schedule at /fees. There are no interest charges, late fees, or annual card fees. Third-party fees are passed through at cost.

6. Unauthorized transactions and errors

Notify us at contact@lynqcapital.co immediately, and in any event within 60 days of the transaction date, if you believe a card transaction is unauthorized or incorrect. We will acknowledge reports within 3 business days and respond with a resolution or status update within 30 days. Freeze affected cards from the dashboard at any time.

7. Suspension and termination

Cards may be suspended or cancelled by your administrators at any time, and by us or the Issuer where required for risk, compliance, network rules, or legal reasons. On termination, remaining prefunded balances are returned to your linked business bank account after outstanding transactions settle.

8. General

This draft is governed by the laws of the State of Delaware and is incorporated into the Lynq Capital Terms of Service. Where the Issuer's final cardholder agreement conflicts with this draft, the Issuer's agreement controls.
