Terms of Service

1. Acceptance of terms
By accessing or using Lynq Capital, you agree to be bound by these Terms of Service. If you do not agree, you may not use our services.
2. Description of service
Lynq Capital is a financial technology company, not a bank. We provide spend-management software for US businesses, including prefunded commercial virtual cards, merchant and category controls, spend limits, budgets, reporting, receipt capture, treasury balances, virtual USD accounts, vendor and contractor payouts, foreign-exchange conversions, and USDC acceptance. Card issuing, account services, and bank linking are provided through licensed card-issuing and banking partners and their sponsor banks — subject to their terms and approval. Stablecoin custody and payment services are provided by Bridge (Bridge Building Inc. / partner banks) as the regulated provider of record. Lynq Capital does not receive, hold, transmit, or take custody or control of customer funds. Lynq Capital is not a bank, lender, or investment adviser.
3. Account registration and verification
You must provide accurate and complete information when creating an account, including business and beneficial ownership information required for verification (KYB). You are responsible for maintaining the confidentiality of your account credentials. Cards are issued only after verification is complete.
4. Prefunded balances — no credit
Cards issued through the platform are prefunded commercial debit cards that draw exclusively on balances you have funded in advance from your linked business bank account. Lynq Capital does not extend credit. Spending cannot exceed your prefunded balance, and no interest is paid or charged on balances. Treasury balances, virtual USD accounts, payouts, and USDC acceptance are provided through Bridge as the regulated custodial provider of record; Lynq Capital does not hold, control, or have signing authority over customer balances or wallets held with such partners. Balances held with custodial partners are not bank deposits, are not FDIC-insured, and can lose value. Lynq Capital does not pay and does not promise interest, yield, APY, or rewards on balances.
5. Payments and fees
Fees for using Lynq Capital are described on our pricing page and fee schedule. You agree to pay all applicable fees in connection with your use of the service, including any pass-through third-party fees.
6. Acceptable use
The platform may be used only for lawful business purposes. Prohibited uses include personal, family, or household spending, and any activity or merchant category restricted by our partners, card networks, or applicable law. We may suspend or close accounts that violate these terms.
7. Suspension and termination
We may suspend or terminate access to the platform, freeze cards, or hold pending transactions where we reasonably believe there is a risk of fraud, unauthorized use, or illegal activity; where required by our partners, card networks, legal process, or applicable law; or where these Terms are violated. You may close your account at any time; remaining prefunded balances will be returned to your linked business bank account after outstanding transactions settle.
8. Errors, disputes, and complaints
If you believe a card transaction is unauthorized or incorrect, notify us at contact@lynqcapital.co as soon as possible and in any event within 60 days of the transaction date. We will acknowledge dispute reports within 3 business days, investigate, and respond with a resolution or status update within 30 days. Complaints about our services can be sent to the same address and are tracked to resolution.
9. Indemnification
You agree to indemnify and hold harmless Lynq Capital and its partners from claims, losses, and expenses arising out of your breach of these Terms, your violation of law, or your misuse of the platform.
10. Limitation of liability
To the fullest extent permitted by law, Lynq Capital shall not be liable for any indirect, incidental, or consequential damages arising out of or in connection with our services.
11. Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated by email or in-product notice at least 30 days before they take effect, and the version and date at the top of this page will be updated. Continued use after the effective date constitutes acceptance.
12. Governing law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Any dispute not resolved through our complaints process will be brought in the state or federal courts located in Delaware.
